\"Lorsqu'une personne autoris\u00e9e \u00e0 repr\u00e9senter une autre personne conclut un contrat au nom de cette derni\u00e8re, c'est le repr\u00e9sent\u00e9, et non le repr\u00e9sentant, qui est habilit\u00e9 et engag\u00e9\". C'est ce que stipule - pour autant que ce soit relativement clair - l'article 32 du Code des obligations. Mais que se passe-t-il si l'autorisation fait effectivement d\u00e9faut, mais que le fournisseur pense de bonne foi qu'elle existe ? Si l'employeur a cr\u00e9\u00e9 vers l'ext\u00e9rieur l'apparence d'une autorisation correspondante, l'effet de repr\u00e9sentation intervient malgr\u00e9 tout sur la base de l'art. 33 al. 3 CO. La bonne foi du fournisseur est prot\u00e9g\u00e9e dans la mesure o\u00f9 il ne s'est pas comport\u00e9 de mani\u00e8re insouciante. La s\u00e9curit\u00e9 juridique dans les relations commerciales doit ainsi \u00eatre renforc\u00e9e.<\/p>\n

Qu'est-ce qu'une procuration apparente ?<\/h2>\n

Une procuration dite \"apparente\" peut d\u00e9j\u00e0 exister lorsqu'un collaborateur utilise le papier \u00e0 en-t\u00eate ou l'adresse e-mail de l'employeur, du moins dans la mesure o\u00f9 il commande des articles qui correspondent au but commercial de l'entreprise. Cela serait par exemple le cas pour une commande importante de viande pour un restaurant, mais pas pour une soci\u00e9t\u00e9 fiduciaire. La quantit\u00e9 doit \u00e9galement \u00eatre correcte ; si un collaborateur commande quelques bo\u00eetes de barres de chocolat pour un kiosque, on pourrait consid\u00e9rer qu'il a un mandat apparent, mais pas s'il commande une tonne de chocolat.<\/p>\n

Quand peut-on refuser de prendre en charge des marchandises ?<\/h2>\n

Si un collaborateur est par exemple inscrit au registre du commerce avec un pouvoir de signature individuelle et que le fournisseur n'a pas connaissance d'\u00e9ventuelles restrictions internes du pouvoir de repr\u00e9sentation, le contrat de vente lie \u00e9galement l'employeur et celui-ci doit payer le prix de vente. Mais si l'apparence d'une autorisation fait d\u00e9j\u00e0 d\u00e9faut, le fournisseur doit agir contre le collaborateur si l'employeur n'approuve pas le contrat a posteriori (art. 38 al. 1 CO). Si l'approbation n'a pas lieu, le collaborateur est responsable, \u00e0 moins qu'il ne prouve que le fournisseur connaissait ou aurait d\u00fb conna\u00eetre le d\u00e9faut d'autorisation. En d'autres termes, l'employeur ne peut refuser de prendre livraison des marchandises que dans la mesure o\u00f9 il n'existe ni une procuration express\u00e9ment manifest\u00e9e ni une procuration apparente.<\/p>\n

V\u00e9rifier le droit de signature<\/h2>\n

Conclusion : en tant que fournisseur, il faut \u00e9viter d'en arriver l\u00e0. La v\u00e9rification de la solvabilit\u00e9 va de pair avec la v\u00e9rification du droit de signature. Pour cela, il faut disposer d'informations fiables de la part d'un partenaire digne de confiance !<\/p>\n
