(Image : pixabay)<\/figcaption><\/figure>\n<p>En 2018, les entreprises et les investisseurs suisses ont \u00e9t\u00e9 particuli\u00e8rement actifs en mati\u00e8re de fusions et d'acquisitions, ce qui a entra\u00een\u00e9 une ann\u00e9e record en mati\u00e8re de M&amp;A. C'est ce que montre l'\u00e9tude \"Clarity on M&amp;A\" de KPMG. Le nombre de transactions avec participation suisse a augment\u00e9 d'environ un quart par rapport \u00e0 l'ann\u00e9e pr\u00e9c\u00e9dente (+24,8%) et a atteint, avec 493 deals, son niveau le plus \u00e9lev\u00e9 depuis le d\u00e9but de l'enqu\u00eate en 2007. Le volume des transactions a \u00e9galement augment\u00e9 de mani\u00e8re significative par rapport \u00e0 2017, passant de 101,5 milliards de dollars \u00e0 132,9 milliards de dollars (+30,9%), mais est rest\u00e9 en de\u00e7\u00e0 du record de 188,1 milliards de dollars \u00e9tabli en 2014.<\/p>\n<h2>Un nombre particuli\u00e8rement \u00e9lev\u00e9 de fusions-acquisitions dans la pharmacie et les sciences de la vie<\/h2>\n<p>Le secteur pharmaceutique et des sciences de la vie, l'industrie des biens de consommation et le secteur industriel ont enregistr\u00e9 des activit\u00e9s de fusions et acquisitions particuli\u00e8rement \u00e9lev\u00e9es. Ce dernier a certes enregistr\u00e9 le plus grand nombre de transactions (88). Mais avec pr\u00e8s de 29,5 milliards de dollars, les entreprises pharmaceutiques et des sciences de la vie ont r\u00e9alis\u00e9 le volume de transactions le plus \u00e9lev\u00e9. Les secteurs de la technologie, des t\u00e9l\u00e9communications et des m\u00e9dias (68 deals) ainsi que le secteur financier (62 deals) se sont \u00e9galement montr\u00e9s tr\u00e8s actifs. (Source : KPMG)<\/figcaption><\/figure>\n<h2>Mise en \u0153uvre coh\u00e9rente des transformations<\/h2>\n<p>\"Des entreprises suisses telles qu'ABB, Novartis, Nestl\u00e9 ou Glencore ont pu franchir de nouvelles \u00e9tapes sur le chemin de leur transformation et faire avancer ou achever le r\u00e9\u00e9quilibrage de leurs portefeuilles par des transactions importantes\", explique Timo Knak, responsable M&amp;A chez KPMG. Le volume de transaction de loin le plus \u00e9lev\u00e9 a \u00e9t\u00e9 atteint par l'accord entre Novartis et le groupe pharmaceutique britannique GlaxoSmithKline (GSK) : afin de pouvoir continuer \u00e0 se concentrer sur le d\u00e9veloppement et la croissance de son activit\u00e9 principale, Novartis a vendu \u00e0 GSK une participation de 36,5% dans une joint-venture commune pour USD 13,0 milliards. Ensuite, l'entreprise b\u00e2loise de biotechnologie et de pharmacie a acquis les deux soci\u00e9t\u00e9s am\u00e9ricaines AveXis Inc (th\u00e9rapies g\u00e9niques) et Endocyte (th\u00e9rapies contre le cancer) pour un total de 10,6 milliards de dollars. ABB va c\u00e9der son activit\u00e9 de r\u00e9seau \u00e9lectrique au groupe industriel japonais Hitachi pour 9,4 milliards de dollars. Le groupe alimentaire suisse Nestl\u00e9 a acquis pour 7,2 milliards de dollars les capacit\u00e9s de production ainsi que les droits de marque et de distribution des produits de consommation et de restauration de l'entreprise de commerce de d\u00e9tail am\u00e9ricaine Starbucks. Glencore a vendu sa participation dans le groupe p\u00e9trolier russe Rosneft au fonds souverain qatari QIA pour 9,3 milliards de dollars.<\/p>\n<h2>Les deals de private equity atteignent des sommets<\/h2>\n<p>Le private equity joue un r\u00f4le de plus en plus important dans les fusions et acquisitions d'entreprises, selon une autre conclusion de l'\u00e9tude. En 2018, le nombre de transactions de private equity a atteint son plus haut niveau depuis le d\u00e9but de l'enqu\u00eate en 2007, avec 160 transactions. 2017 avait d\u00e9j\u00e0 enregistr\u00e9 une augmentation marqu\u00e9e des transactions de private equity de 32,2% par rapport \u00e0 2016. En 2018, le volume des transactions s'est \u00e9lev\u00e9 \u00e0 35,6 milliards de dollars, soit une augmentation de 96,7% par rapport \u00e0 l'ann\u00e9e pr\u00e9c\u00e9dente. L'influence croissante du private equity est soutenue par un environnement de taux d'int\u00e9r\u00eat toujours bas avec des conditions de financement favorables en cons\u00e9quence, une croissance \u00e9conomique \u00e9tendue et des lev\u00e9es de fonds r\u00e9alis\u00e9es avec succ\u00e8s. \"Dans ce contexte, la cr\u00e9ativit\u00e9 se d\u00e9veloppe sur un march\u00e9 satur\u00e9.
