(Image : QuinceMedia on Pixabay)<\/figcaption><\/figure>\n<p>En 2018, 1'132 Initial Coin Offerings (ICO) ou Security Token Offerings (STO) ont \u00e9t\u00e9 men\u00e9es \u00e0 bien, soit deux fois plus qu'en 2017 (552 au total). C'est ce que r\u00e9v\u00e8le le quatri\u00e8me rapport ICO\/STO de PwC Strategy&amp; en collaboration avec la Crypto Valley Association (CVA). Apr\u00e8s que le crypto-crowdfunding a poursuivi sa croissance d\u00e9but 2018 et atteint d\u00e8s mars 2018 le volume total de l'ann\u00e9e pr\u00e9c\u00e9dente, le nombre et le volume ont fortement diminu\u00e9 au cours du second semestre. Deux startups, EOS et Telegram, ont g\u00e9n\u00e9r\u00e9 ensemble 5,8 milliards en tant qu'\"unicorns\". Daniel Diemers, responsable Blockchain EMEA chez PwC Strategy&amp; : \"L'\u00e9volution montre que les ICO ou les STO restent attractives d'un point de vue de la strat\u00e9gie d'investissement pour le financement du capital-risque par les investisseurs. Mais elle montre aussi qu'un changement de mentalit\u00e9 a eu lieu et que les investisseurs exigent plus de s\u00e9curit\u00e9 et de transparence\".<\/p>\n<h2>Les nouveaux mod\u00e8les de jetons prennent leur envol<\/h2>\n<p>Avec la chute continue du cours des monnaies num\u00e9riques en fin d'ann\u00e9e, l'expression \"crypto-hiver\" s'est impos\u00e9e dans le milieu de la blockchain. Mais la baisse des volumes d'investissement n'est pas uniquement due \u00e0 ce dernier. Les STO gagnent en popularit\u00e9 dans le secteur autour des cryptomonnaies. En tant qu'offres de jetons pour des titres et des droits r\u00e9els, les STO ne se distinguent pas fondamentalement des ICO, dont ils sont plut\u00f4t une forme r\u00e9glement\u00e9e. Ils combinent ainsi diff\u00e9rentes caract\u00e9ristiques des ICO, par exemple de faibles barri\u00e8res \u00e0 l'entr\u00e9e pour les investisseurs et des caract\u00e9ristiques traditionnelles de capital-risque ou de lev\u00e9e de fonds priv\u00e9s. En outre, les jetons sous-jacents conf\u00e8rent des droits financiers suppl\u00e9mentaires, tels que des dividendes ou des actions, et sont soumis aux lois et r\u00e9glementations locales telles que KYC et AML.<\/p>\n<p>Outre les titres, on constate une tendance \u00e0 la tokenisation de mati\u00e8res premi\u00e8res telles que l'or, le p\u00e9trole, etc. jusqu'\u00e0 la tokenisation de biens immat\u00e9riels (p. ex. droits musicaux). Daniel Diemers : \"Les ICO ont souvent \u00e9t\u00e9 con\u00e7ues comme des v\u00e9hicules hautement sp\u00e9culatifs et ont attir\u00e9 l'attention de diff\u00e9rentes autorit\u00e9s de surveillance. L'am\u00e9lioration de la r\u00e9glementation gr\u00e2ce \u00e0 la tokenisation et \u00e0 la reconnaissance en tant que titres est un pas de plus vers la maturit\u00e9. Il est int\u00e9ressant de voir comment un secteur s'est transform\u00e9 en si peu de temps. \u00c0 l'avenir, il sera int\u00e9ressant de voir quels nouveaux mod\u00e8les commerciaux en r\u00e9sulteront ou lesquels s'imposeront finalement\".<\/p>\n<h2>L'environnement r\u00e9glementaire et l'infrastructure doivent suivre le changement<\/h2>\n<p>La FINMA a commenc\u00e9 tr\u00e8s t\u00f4t \u00e0 s'int\u00e9resser \u00e0 la th\u00e9matique des jetons et fait la distinction entre les jetons de paiement, d'utilisation et d'investissement. \"Le mod\u00e8le de r\u00e9glementation avanc\u00e9 de la Suisse, associ\u00e9 \u00e0 un alignement plus marqu\u00e9 des STO sur les lois courantes sur les valeurs mobili\u00e8res, constitue une bonne base pour les prochains d\u00e9veloppements dans le domaine des blockchains. Nous sommes heureux de voir que la Suisse continue \u00e0 jouer un r\u00f4le majeur dans un march\u00e9 dynamique qui s'oriente vers les jetons d'actifs et les stablecoins\", explique Daniel Haudenschild, pr\u00e9sident de la Crypto Valley Association.<\/p>\n<p>Outre une protection accrue, les acteurs du march\u00e9 exigent de nouveaux services tels que des solutions de conservation flexibles, des services de donn\u00e9es de march\u00e9, des services de notation fiables et des services de recherche. Avec les attentes croissantes et les exigences r\u00e9glementaires accrues des STO, l'infrastructure existante, par exemple pour le n\u00e9goce et la conservation, doit \u00e9galement \u00e9voluer. Les bourses et \u00e9tablissements financiers \u00e9tablis ont reconnu cette opportunit\u00e9 et d\u00e9veloppent leurs services dans le domaine de la cryptographie. L'op\u00e9rateur boursier suisse SIX a par exemple annonc\u00e9 \u00e0 l'\u00e9t\u00e9 2018 une plateforme pour l'\u00e9mission, le n\u00e9goce, le r\u00e8glement et la conservation d'actifs num\u00e9riques.
