(Image : pixabay.com)<\/figcaption><\/figure>\n<p>L'activit\u00e9 mondiale des fusions-acquisitions a connu une \u00e9volution positive en 2018, avec une augmentation de la valeur de 20% par rapport \u00e0 l'ann\u00e9e pr\u00e9c\u00e9dente, alors que le nombre de transactions a diminu\u00e9 de 10% sur la m\u00eame p\u00e9riode. L'ind\u00e9cision a marqu\u00e9 l'environnement macro\u00e9conomique et g\u00e9opolitique au second semestre 2018 : le multilat\u00e9ralisme est de plus en plus remis en question, le protectionnisme am\u00e9ricain s'est renforc\u00e9 et les incertitudes autour du Brexit ont augment\u00e9. Ces incertitudes macro\u00e9conomiques continuent de pr\u00e9valoir en 2019. M\u00eame si la situation \u00e9conomique en Suisse reste positive, le vent peut l\u00e0 aussi rapidement tourner.<\/p>\n<h2>Une h\u00e9sitation croissante en Suisse aussi<\/h2>\n<p>Selon la derni\u00e8re enqu\u00eate de Deloitte aupr\u00e8s des directeurs financiers suisses, les perspectives conjoncturelles suisses sont pour la premi\u00e8re fois moins optimistes depuis plus de trois ans. Cette tendance est confirm\u00e9e par la derni\u00e8re enqu\u00eate de Deloitte aupr\u00e8s des conseils d'administration suisses : Depuis l'\u00e9t\u00e9 2018, le nombre d'estimations positives concernant la conjoncture a pratiquement diminu\u00e9 de moiti\u00e9.<br \/>\nLes activit\u00e9s de fusions et acquisitions des PME suisses sont certes rest\u00e9es globalement stables en 2018 (voir graphique). (Graphique : Deloitte)<\/figcaption><\/figure>\n<h2>Les PME suisses sont des objets de rachat convoit\u00e9s par les fonds PE<\/h2>\n<p>Cet optimisme s'explique notamment par l'int\u00e9r\u00eat croissant des fonds de private equity pour les PME suisses. En 2018, les fonds de private equity suisses et \u00e9trangers ont repris 32 PME suisses. L'ann\u00e9e pr\u00e9c\u00e9dente, elles \u00e9taient encore 28 et en 2015, seulement 18. Apr\u00e8s des ann\u00e9es de stabilit\u00e9, l'activit\u00e9 croissante des fonds suisses est frappante : alors qu'ils n'\u00e9taient responsables que d'environ un tiers des acquisitions de PME suisses en 2017, leur part a d\u00e9j\u00e0 atteint 44% l'ann\u00e9e derni\u00e8re. \"Gr\u00e2ce \u00e0 des taux d'int\u00e9r\u00eat bas et \u00e0 un capital d'investissement croissant, les fonds de private equity ont achet\u00e9 davantage de petites et moyennes entreprises en 2018. Comme les taux d'int\u00e9r\u00eat devraient rester bas et que les conditions de financement restent favorables pour les fonds, nous pensons que cette tendance se poursuivra en 2019\", d\u00e9clare Stephan Br\u00fccher, Partner Financial Advisory et Private Equity Leader de Deloitte Suisse.<\/p>\n<h2>Des destinations privil\u00e9gi\u00e9es gr\u00e2ce \u00e0 une bonne r\u00e9putation<\/h2>\n<p>Les PME suisses sont \u00e9galement synonymes de confiance, de savoir-faire et de fiabilit\u00e9 au niveau international. La Suisse reste pionni\u00e8re dans le d\u00e9veloppement de nombreuses nouvelles technologies et les PME suisses sont reconnues internationalement pour leur expertise dans la microtechnique, les technologies m\u00e9dicales, l'horlogerie ou la robotique. En 2018, comme l'ann\u00e9e pr\u00e9c\u00e9dente, les acheteurs ont privil\u00e9gi\u00e9 les PME suisses actives dans le secteur industriel (27 transactions), suivies de pr\u00e8s par les entreprises des secteurs de la technologie, des m\u00e9dias et des t\u00e9l\u00e9coms (25 transactions).<\/p>\n<p>\"Les perspectives pour les activit\u00e9s de fusions et acquisitions des PME suisses sont globalement positives pour 2019. Le nombre de transactions pourrait toutefois \u00eatre l\u00e9g\u00e8rement en baisse en raison des tensions g\u00e9opolitiques dans le monde ainsi qu'en Europe. Les PME suisses sont appr\u00e9ci\u00e9es non seulement pour leurs comp\u00e9tences de niche, mais aussi pour leur grande capacit\u00e9 d'adaptation aux particularit\u00e9s de leur march\u00e9 national. Malgr\u00e9 une possible baisse des activit\u00e9s de fusions et acquisitions cette ann\u00e9e, les PME devraient pour leur part continuer \u00e0 faire des acquisitions \u00e0 l'\u00e9tranger afin de diversifier leurs activit\u00e9s ou de renforcer leur pr\u00e9sence g\u00e9ographique.
