(Image : Pixabay.com)<\/figcaption><\/figure>\n<p>Les cons\u00e9quences de la pand\u00e9mie de Corona sont particuli\u00e8rement ressenties par certains secteurs, comme celui des voyages, de la restauration ou de l'\u00e9v\u00e9nementiel. Les initi\u00e9s du secteur estiment que la perte de chiffre d'affaires pendant plusieurs semaines signifie pour certaines entreprises \"l'extinction des feux\" si une aide financi\u00e8re n'arrive pas rapidement. En d'autres termes, les proc\u00e9dures d'insolvabilit\u00e9 risquent de se multiplier.<\/p>\n<h2><strong>\u00c9viter la faillite et la liquidation gr\u00e2ce \u00e0 la proc\u00e9dure concordataire<\/strong><\/h2>\n<p>Le droit suisse de la poursuite pour dettes et de la faillite (LP) pr\u00e9voit essentiellement trois formes de proc\u00e9dures d'insolvabilit\u00e9 : la faillite, la proc\u00e9dure concordataire ou l'ajournement de la faillite. La proc\u00e9dure concordataire est peu connue et relativement peu appliqu\u00e9e. C'est ce qu'a constat\u00e9 une nouvelle \u00e9tude publi\u00e9e par la soci\u00e9t\u00e9 de conseil Alvarez &amp; Marsal et la Swiss Turnaround Association. La proc\u00e9dure concordataire selon la LP doit \u00eatre demand\u00e9e aupr\u00e8s d'un tribunal et a, entre autres, les effets suivants :<\/p>\n<ul>\n<li>Les poursuites et les proc\u00e9dures judiciaires sont suspendues<\/li>\n<li>Les biens du d\u00e9biteur ne peuvent pas \u00eatre saisis<\/li>\n<li>Les cessions de cr\u00e9ances deviennent caduques lorsque le sursis est approuv\u00e9<\/li>\n<li>Les d\u00e9lais de prescription sont suspendus<\/li>\n<li>D\u00e8s que le sursis est accord\u00e9, les int\u00e9r\u00eats sur toutes les cr\u00e9ances non garanties cessent de courir \u00e0 l'\u00e9gard du d\u00e9biteur (sauf disposition contraire du concordat).<\/li>\n<li>Pr\u00e9vention de la radiation\/radiation des droits avant la proc\u00e9dure de concordat<\/li>\n<li>Pas d'obligation de plan social en cas de licenciements collectifs intervenant pendant la proc\u00e9dure concordataire conclue par un concordat par abandon d'actifs<\/li>\n<li>recours \u00e0 un administrateur judiciaire ; avec son accord, les contrats \u00e0 long terme peuvent \u00eatre r\u00e9sili\u00e9s s'ils font obstacle \u00e0 un assainissement<\/li>\n<\/ul>\n<p>Dans un pass\u00e9 r\u00e9cent, la proc\u00e9dure concordataire aurait sans doute permis de sauver certaines entreprises qui ont d\u00e9pos\u00e9 leur bilan, ainsi que de nombreux emplois.<\/p>\n<h2><strong>Les cadres devraient \u00e9valuer la situation financi\u00e8re de mani\u00e8re plus objective<\/strong><\/h2>\n<p>L'\u00e9tude a r\u00e9v\u00e9l\u00e9 que les entreprises en difficult\u00e9 de paiement attendent souvent trop longtemps avant de prendre les mesures n\u00e9cessaires et, lorsqu'elles le font, elles se rendent compte qu'il ne reste que peu de marge de man\u0153uvre et que l'entreprise devra finalement d\u00e9poser le bilan. Au lieu de cela, en cas de difficult\u00e9s de tr\u00e9sorerie, la direction de l'entreprise devrait \u00e9valuer objectivement une restructuration \u00e0 un stade pr\u00e9coce et envisager un sursis concordataire comme solution possible. En effet, le sursis concordataire permet aux entreprises de gagner le temps dont elles ont besoin pour mettre en \u0153uvre des mesures d'assainissement.<\/p>\n<p>Souvent, les solutions extrajudiciaires sont pr\u00e9f\u00e9r\u00e9es \u00e0 une proc\u00e9dure de concordat. En 2019, selon l'enqu\u00eate de <a href=\"https:\/\/www.alvarezandmarsal.com\/global-locations\/switzerland\">Alvarez &amp; Marsal<\/a> (A&amp;M), seules 66 entreprises suisses ont opt\u00e9 pour un sursis concordataire. En comparaison avec les 4'691 faillites de la m\u00eame p\u00e9riode, l'instrument du sursis concordataire n'a \u00e9t\u00e9 utilis\u00e9 que dans environ 1,4% de toutes les faillites suisses. A titre de comparaison, aux Etats-Unis, les demandes de proc\u00e9dure de Chapter 11 \u00e9taient dix fois plus nombreuses en 2019 (14%).<\/p>\n<h2><strong>40% des entreprises qui sont entr\u00e9es en sursis concordataire en 2019 ont \u00e9t\u00e9 restructur\u00e9es avec succ\u00e8s<\/strong><\/h2>\n<p>17 (38%) des entreprises qui ont b\u00e9n\u00e9fici\u00e9 d'un sursis concordataire en 2019 et pour lesquelles la proc\u00e9dure est d\u00e9sormais termin\u00e9e ont \u00e9t\u00e9 restructur\u00e9es avec succ\u00e8s, soit par une restructuration pure et simple, soit par un concordat ordinaire avec leurs cr\u00e9anciers. Dans 28 (62%) des proc\u00e9dures cl\u00f4tur\u00e9es, l'entreprise s'est \u00e9teinte. N\u00e9anmoins, dans 5 cas, une solution a \u00e9t\u00e9 trouv\u00e9e, soit avec une solution de cantonnement (c'est-\u00e0-dire que la partie saine de l'entreprise est devenue une entit\u00e9 ind\u00e9pendante), soit l'entreprise a \u00e9t\u00e9 transf\u00e9r\u00e9e \u00e0 un tiers. Selon les auteurs de l'\u00e9tude, dans le contexte \u00e9conomique difficile actuel, le sursis concordataire pourrait \u00eatre un excellent instrument pour sauver les entreprises comp\u00e9titives qui souffrent du choc Covid-19.<\/p>\n<h2><strong>En 2020, seules 34 entreprises sont entr\u00e9es en sursis concordataire<\/strong><\/h2>\n<p>Entre janvier 2020 et fin septembre 2020, 34 entreprises ont b\u00e9n\u00e9fici\u00e9 d'un sursis concordataire. Si l'on extrapole ce chiffre \u00e0 l'ann\u00e9e, il correspond \u00e0 45 cas et \u00e0 une baisse de 30% par rapport \u00e0 2019. Cette baisse peut s'expliquer par les mesures de soutien COVID-19 du gouvernement suisse en faveur des entreprises. Par rapport aux 2 760 faillites enregistr\u00e9es sur la m\u00eame p\u00e9riode, l'instrument du sursis concordataire n'a \u00e9t\u00e9 utilis\u00e9 que dans environ 1,2% de toutes les faillites.<\/p>\n<p>En plus de la proc\u00e9dure ordinaire, seules 22 entreprises ont utilis\u00e9 la proc\u00e9dure simplifi\u00e9e.\u00a0 <em>COVID-19 Proc\u00e9dure de concordat<\/em>. Il s'agit d'une proc\u00e9dure peu co\u00fbteuse qui \u00e9tait en vigueur jusqu'au 19 octobre 2020 afin de prot\u00e9ger les petites entreprises du choc COVID-19. Cela montre qu'une premi\u00e8re vague d'insolvabilit\u00e9s a \u00e9t\u00e9 efficacement \u00e9vit\u00e9e pour le moment par les autres mesures COVID-19 du gouvernement suisse. Il doit exister un plan d'assainissement provisoire. Il n'existe toutefois pas de prescriptions l\u00e9gales sur ce que doit contenir le plan d'assainissement dans la demande de sursis concordataire. Dans la pratique, le plan d'assainissement provisoire comprend g\u00e9n\u00e9ralement un aper\u00e7u des mesures et des objectifs du processus d'assainissement envisag\u00e9. Une demande ne peut \u00eatre rejet\u00e9e que s'il n'existe manifestement aucune perspective d'assainissement. Dans ce cas, le tribunal du concordat ouvre d'office la faillite (art. 293a LP).
