\"Se una persona autorizzata a rappresentare un'altra persona stipula un contratto per conto di quest'ultima, la persona rappresentata, e non il rappresentante, diventa legittimata e obbligata\". Ci\u00f2 \u00e8 affermato nell'articolo 32 del Codice delle obbligazioni - per quanto relativamente chiaro. Ma cosa succede se in realt\u00e0 non esiste alcuna autorizzazione, ma il fornitore presume in buona fede che esista? Se il datore di lavoro ha creato l'apparenza di un'autorizzazione corrispondente all'esterno, l'effetto rappresentativo entra comunque in vigore sulla base dell'art. 33 cpv. 3 CO. La buona fede del fornitore \u00e8 tutelata nella misura in cui non ha agito con negligenza. L'obiettivo \u00e8 quello di rafforzare la certezza del diritto nei rapporti commerciali.<\/p>\n

Che cos'\u00e8 una procura prima facie?<\/h2>\n

Una cosiddetta \"procura prima facie\" pu\u00f2 gi\u00e0 esistere se un dipendente utilizza la carta commerciale o l'indirizzo e-mail del datore di lavoro, almeno se ordina articoli che corrispondono allo scopo commerciale dell'azienda. Questo, ad esempio, si potrebbe facilmente affermare nel caso di un grosso ordine di carne per un ristorante, ma non per una societ\u00e0 fiduciaria. Anche la quantit\u00e0 deve essere corretta; se un dipendente ordina alcune scatole di tavolette di cioccolato per un chiosco, si presume prima facie una procura, ma non se viene ordinata una tonnellata di cioccolato.<\/p>\n

Quando pu\u00f2 essere rifiutata l'accettazione della merce?<\/h2>\n

Se, ad esempio, un dipendente \u00e8 iscritto al registro delle imprese con potere di firma individuale e il fornitore non \u00e8 a conoscenza di eventuali restrizioni interne al potere di rappresentanza, il contratto di acquisto vincola anche il datore di lavoro e quest'ultimo deve pagare il prezzo di acquisto. Tuttavia, se gi\u00e0 non c'\u00e8 un'apparenza di autorizzazione, il fornitore deve intervenire nei confronti del lavoratore se il datore di lavoro non approva successivamente il contratto (art. 38 cpv. 1 CO). Se l'autorizzazione non viene data, il dipendente \u00e8 responsabile a meno che non dimostri che il fornitore sapeva o avrebbe dovuto sapere della mancanza di autorizzazione. In altre parole, il datore di lavoro pu\u00f2 rifiutarsi di accettare la merce solo se non esiste una procura espressamente annunciata o prima facie.<\/p>\n

Verifica dell'autorit\u00e0 di firma<\/h2>\n

Conclusione: il fornitore non deve arrivare a questo punto. Il controllo della solvibilit\u00e0 \u00e8 accompagnato anche da una verifica dell'autorizzazione alla firma. Ci\u00f2 richiede informazioni affidabili da parte di un partner affidabile!<\/p>\n
